Star Metro - Queue Ventures Announces Results of its Annual General and Special Meeting in Connection with Previously Announced Plan of Arrangement with Custom Health, Inc.

VANCOUVER, BC / ACCESS Newswire / May 1, 2026 / Queue Ventures Ltd. ("Queue" or the "Company") is pleased to announce the results of its annual general and special meeting of holders ("Shareholders") of common shares of the Company held on April 30, 2026 (the "Meeting").

Shareholders voted in favour of all resolutions presented at the Meeting, including the Company's previously announced plan of arrangement (the "Arrangement") with Custom Health, Inc. ("Custom Health"). As disclosed in the Company's management information circular dated March 30, 2026 (the "Circular"), the Arrangement required the approval of at least two-thirds (66⅔%) of the votes cast by Shareholders present in person or represented by proxy and entitled to vote at the Meeting. The Company is pleased to confirm that the approval threshold was satisfied. Of the votes cast at the Meeting, 100% of the total Shareholder votes were cast in favour of the Arrangement. All other motions tabled at the Meeting also passed.

Approval of the Arrangement by shareholders of Custom Health ("Custom Shareholders") is being sought at a special meeting of Custom Health shareholders which is expected to be held on May 6, 2026.

Subject to the approval of the Arrangement by the Custom Shareholders, the Company will seek a final order (the "Final Order") of the Supreme Court of British Columbia (the "Court") to approve the Arrangement in May 2026. Completion of the Arrangement is subject to the satisfaction of customary closing conditions for a transaction of this nature, including receipt of the Final Order. Subject to the satisfaction or waiver of the closing conditions, it is expected that the Arrangement will be completed in May 2026.
