Star Metro - Queue Ventures Announces Results of Special Meeting of Custom Health, Inc. in Connection With Previously Announced Plan of Arrangement

VANCOUVER, BC / ACCESS Newswire / May 7, 2026 / Queue Ventures Ltd. ("Queue" or the "Company") is pleased to announce, further to its press release dated May 1, 2026, the results of the special meeting of shareholders ("Custom Shareholders") of Custom Health, Inc. ("Custom Health") held on May 6, 2026 (the "Custom Meeting").

Custom Shareholders voted in favour of the resolution to approve the Company's previously announced plan of arrangement (the "Arrangement") with Custom Health. As disclosed in the Company's management information circular dated March 30, 2026 (the "Circular"), the Arrangement requires the approval of a majority (50%) of the issued and outstanding shares of common stock of Custom Health representing the votes cast by Custom Shareholders present in person or represented by proxy and entitled to vote at the Custom Meeting. The Company is pleased to confirm that the approval threshold was satisfied, with 99.99% of the votes cast in favour of the Arrangement.

The Company will seek a final order (the "Final Order") of the Supreme Court of British Columbia (the "Court") to approve the Arrangement on May 12, 2026. Completion of the Arrangement is subject to the satisfaction of customary closing conditions for a transaction of this nature, including receipt of the Final Order. Subject to the satisfaction or waiver of the closing conditions, it is expected that the Arrangement will be completed in May 2026.
