("Nano One" or the "Company") (TSX:NANO)(OTCQB:NNOMF), is pleased to announce that, in connection with its previously announced overnight marketed underwritten offering (the "Offering"), it has filed a prospectus supplement dated December 8, 2025 (the "Prospectus Supplement") to its short form base shelf prospectus (the "Base Shelf Prospectus") dated April 26, 2024, in each of the provinces of Canada, except Québec, to qualify the distribution of 4,650,000 units (the "Units") of the Company at a price of C$1.40 per Unit (the "Offering Price") and up to an additional 697,500 Units at the Offering Price to be issued upon exercise of an over-allotment option, the particulars of which are further described in the Prospectus Supplement.
