Star Metro - Rocky Shore Gold Announces Upsize of Private Placement

TORONTO, ON / ACCESS Newswire / January 28, 2026 / Rocky Shore Gold Ltd. ("Rocky Shore" or the "Company") (CSE:RSG) is pleased to announce that, due to the high level of interest, it has increased the size of its previously announced non-brokered private placement (the "Offering") to now raise aggregate gross proceeds of up to $6,000,000 through the sale of units ("Units") at a price of $0.175 per Unit. Each Unit will be comprised of one common share of the Company (a "Common Share") and one share purchase warrant (each, a "Warrant"). Each Warrant will entitle the holder thereof to acquire one Common Share, to be issued on a non-flow through basis, at an exercise price of $0.30 until the date that is three years following the closing date of the Offering.

The proceeds from the Units issued under the Offering will be used for general corporate purposes and advancement of the Company's Gold Anchor Project located in central Newfoundland. The securities to be issued in connection with the Offering will be subject to a hold period of four months and one day from the date of issuance, in accordance with applicable Canadian securities laws. The Company may pay finder's fees and/or issue finder's warrants on a portion of the Offering to eligible finders, subject to compliance with the policies of the Canadian Securities Exchange and applicable securities legislation.
